Terms of Service

These terms govern your use of IShip, a freight marketplace operated by [LEGAL ENTITY NAME], a company registered in Georgia under identification number [COMPANY ID NUMBER], with its registered address at [REGISTERED ADDRESS] ("we", "us", "IShip").

By registering an account or using the platform you accept these terms. If you do not accept them, do not use the platform.

1. Who may use IShip

IShip is a service for businesses. You may register only if you are acting on behalf of a legally registered company and are authorised to bind that company. It is not intended for consumers, and we do not knowingly provide it to anyone under 18.

You must give accurate company details, including your registration or tax identification number. Registering a company you do not represent, or misstating your role, is a breach of these terms.

2. Registration and approval

Creating an account is a two-step process. You confirm your email address by clicking the link we send you, and we then review the account by hand before it is opened. We may refuse an application, and we are not obliged to give reasons.

You are responsible for keeping your password confidential and for everything done through your account. Tell us promptly at [CONTACT EMAIL] if you believe it has been used without your permission.

Where several people from the same company hold accounts, each of them acts for that company. Anything one of them posts, bids, or accepts binds the company, not only the individual.

3. What IShip is, and what it is not

IShip is a venue. Cargo owners publish tenders; transporters bid on them; a cargo owner may accept a bid. We are not a party to any resulting contract of carriage, we are not a carrier, a freight forwarder, or an agent of either side, and we do not take custody of any goods.

We do not verify the accuracy of any tender or bid, the condition or legality of any cargo, the licences, permits, or insurance held by any transporter, or the ability of any party to perform. Approving an account at registration is a light check on the company's existence, not an endorsement, a warranty of solvency, or a guarantee of performance.

Deciding who to deal with, and on what terms, is entirely yours. We strongly recommend you carry out your own checks and agree your own contract before goods move.

4. Tenders and bids

  • A tender is an invitation to bid. Publishing one does not oblige you to accept any bid.
  • A bid is an offer from the transporter to the cargo owner on the terms stated in it, and it is binding on the transporter for as long as the tender remains open unless the bid says otherwise.
  • Each tender states a deadline after which no further bids can be made. A cargo owner may still accept one of the bids already received after that deadline has passed.
  • Accepting a bid forms a contract between the cargo owner and that transporter, on the terms of the tender and the bid, together with anything else the two of you agree. IShip is not part of it.
  • Withdrawing from an accepted bid is a matter between the two companies concerned. It may also count against the withdrawing party in our assessment of whether their account should remain open.

5. Acceptable use

You must not:

  • post cargo that is unlawful, or that you are not entitled to ship;
  • misdescribe cargo — in particular its weight, value, or whether it is dangerous — since others price and plan on what you state;
  • post a tender or bid you have no intention of honouring, including to obtain competitors' pricing;
  • scrape the platform, or use automated means to collect other users' data;
  • use contact details obtained here for marketing unrelated to the transaction they were given for;
  • attempt to gain access to any account or data that is not yours;
  • interfere with the platform's operation or security, or test it without our written permission.

6. Fees

[FEES — state clearly whether use is free, and if not: what is charged, to whom, when it falls due, whether VAT applies, and how much notice you will give before a change. If IShip is free during launch, say so and say that paid terms will be notified in advance.]

7. Availability

We aim to keep IShip available, but we do not promise uninterrupted service. We may suspend it for maintenance, and we may change or withdraw features. Where a change materially reduces what the platform does for you, we will give reasonable notice if circumstances allow.

8. Suspension and termination

You may stop using IShip and ask us to close your account at any time. We may suspend or close an account that breaches these terms, that we reasonably believe is being used fraudulently or unlawfully, or where we are required to do so.

Closing an account does not end obligations already incurred to another user, and we may retain records as described in the Privacy Policy.

9. Liability

Nothing in these terms excludes liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence, or for fraud.

Subject to that, and to the fullest extent permitted by Georgian law, we are not liable for loss or damage arising from any transaction between users, from any user's acts, omissions, or misstatements, from loss, damage, or delay to goods, or from lost profits, lost business, or lost opportunity.

Our total liability to you in connection with the platform is limited to [LIABILITY CAP — e.g. the fees you paid us in the 12 months before the claim, or a stated sum if the service is free] .

10. Your content

You keep ownership of everything you post. You grant us the licence we need to host and display it in order to run the platform — for example, showing your tender to transporters. You confirm you have the right to post it.

11. Changes to these terms

We may change these terms. We will post the updated version here with a new date and, where the change is material, notify registered users by email [NOTICE PERIOD — e.g. at least 14 days] before it takes effect. Continuing to use the platform after that means you accept the change.

12. Governing law and disputes

These terms are governed by the law of Georgia. Disputes between you and us are subject to the exclusive jurisdiction of [COURT OR ARBITRATION FORUM, e.g. the courts of Tbilisi].

Disputes between users about a shipment are for those users to resolve. We are not an arbitrator and have no obligation to intervene, though we may consider such disputes when deciding whether an account stays open.
